Intellectual Property, Artwork, & Resale Policy

This Intellectual Property, Artwork, and Resale Policy (“Policy”) constitutes a legally binding agreement between Aden + Louise (“we,” “us,” or “our”) and any customer, purchaser, or website visitor (“you”). By accessing this website or purchasing any product from us, you acknowledge and agree to the terms set forth below.

1. Ownership of Intellectual Property

All products, designs, artwork, illustrations, images, photographs, product descriptions, digital files, and other creative or proprietary content (collectively, “Intellectual Property”) are the exclusive property of Aden + Louise. 

No rights, title, or interest in our Intellectual Property is transferred to you by purchasing or accessing any of our products, whether digital or physical Intellectual Property

Protection & Order Cancellation

By placing an order, you agree to comply with all intellectual property rights and policies of Aden + Louise, including restrictions on copying, reproduction, modification, resale, or derivative use of our designs, artwork, trademarks, molds, tooling, and trade dress.

Right to Cancel or Refuse Orders

Aden + Louise reserves the right to refuse, suspend, or cancel any order—whether current or future—if we have a reasonable, good-faith belief that the order or customer activity violates or may violate our intellectual property rights or IP policies, or is intended to facilitate such a violation.

This includes, but is not limited to orders placed for the purpose of copying designs, creating competing products, misusing samples, reproducing molds or tooling, or otherwise infringing upon our intellectual property.

Orders placed by competitors or on behalf of competitors for the purpose of design analysis, replication, or competitive development may be refused or canceled at our discretion.

Effect of Cancellation

Any order canceled under this section will be refunded in accordance with our Refund Policy, less any non-recoverable costs incurred prior to cancellation, where permitted by law. Such cancellation shall not entitle the customer to damages, lost profits, or other compensation.

2. Prohibited Actions

You expressly agree that you shall NOT, under any circumstances:

1. Copy, reproduce, duplicate, alter, modify, create derivative works, or otherwise adapt any of our artwork, designs, products, or digital content.
2. Resell, distribute, or commercially exploit any physical or digital product produced by us without a legally binding contract or active participation in an approved Wholesale Program.
3. Use our Intellectual Property for any commercial purpose, including but not limited to:
• Selling similar or derivative products
• Using our images or artwork for branding
• Incorporating designs into your own merchandise
4. Upload, share, publish, or distribute our designs in any form, whether online, digitally, physically, or through print.
5. Claim ownership, authorship, or creation of our artwork, designs, or products.
6. Reverse engineer, extract, or attempt to isolate digital elements for reuse or reproduction.

Any violation of these prohibitions constitutes infringement and will result in immediate enforcement action.

·       False Claims of Copy or Art Infringement
Claims suggesting that we have copied competitors, or that competitors have copied us, will be addressed appropriately. We encourage customers & partners to contact us directly for clarification instead of relying on unverified claims or sources.

·       Response to Infringement

1. If a competitor is found copying or misusing any of our exclusive designs without written and agreed upon permission, our legal team will evaluate and pursue appropriate actions, including but not limited to:
2. Sending cease-and-desist letters.
3. Filing formal complaints with relevant e-commerce platforms.
4. Initiating legal proceedings for damages and injunctive relief.
5. Where possible, infringing products will be requested to be removed from the market.

• Defamatory or Derogatory Remarks
  Making false or harmful statements about our company to our partners, vendors, or suppliers -including claims intended to damage our business relationships -is strictly prohibited. We will take appropriate action to protect our reputation and business interests

3. Digital Products vs. Physical Products

3.1 Digital Products

Digital products (including downloadable files, graphics, artwork, templates, and print-ready designs) are licensed for personal use only, unless otherwise stated in writing.

You are strictly prohibited from:

• Republishing or distributing digital files
• Selling digital files or derivatives
• Printing items for resale
• Uploading files to any marketplace, file-sharing platform, or social media

Purchasing a digital product grants you a limited, non-exclusive, non-transferable, non-commercial personal-use license only.

3.2 Physical Products

Physical products purchased from us are intended solely for personal use.
You may not resell our physical products in any retail, online, or commercial environment without prior written approval through a legally binding contract or wholesale program.

Personal resale (e.g., reselling as new, resale platforms, flea markets, craft fairs, boutiques, or online marketplaces) is not permitted unless authorized under Wholesale Terms.

Third-party marketplaces (including but not limited to Amazon, Etsy, Walmart, Facebook and Facebook Marketplace, TikTok, Instagram, eBay, etc.) are prohibited unless specifically authorized.

 4. Resale Restrictions

You are strictly prohibited from reselling any item created, manufactured, designed, or produced by Aden + Louise unless:

• You have entered into a formally executed, legally binding resale contract with us; and/or
• You have been approved and accepted into our official Wholesale Program; and
• You remain in good standing under all applicable terms.

Unauthorized resale is considered commercial misuse and constitutes a violation of this Policy.
